This End User License Agreement (“Agreement”) is a legal agreement between you and KeySolutions Sounds (“Company,” “we,” “us,” or “our”) governing your use of our software products, audio plug-ins, virtual instruments, effects, presets, sound content, installers, documentation, updates, and related materials collectively referred to as the “Software.”
By downloading, installing, activating, copying, or using the Software, you agree to be bound by this Agreement. If you do not agree, do not install or use the Software.
- License Grant
Subject to your compliance with this Agreement, we grant you a limited, non-exclusive, non-transferable license to install and use the Software for your personal or professional music production, sound design, performance, and audio-related work.
This is a license, not a sale. We retain all ownership rights, copyrights, trademarks, and other intellectual property rights in and to the Software.
- Permitted Use
You may use the Software to create, record, perform, produce, mix, master, distribute, and commercially release original musical works, sound recordings, audiovisual works, podcasts, game audio, film audio, and other creative productions.
Unless otherwise stated, presets, impulse responses, samples, wavetables, and factory content included with the Software may be used royalty-free as part of your own finished musical or audio productions.
- Restrictions
You may not:
- Copy, resell, sublicense, rent, lease, lend, share, distribute, or transfer the Software except as expressly allowed by us in writing.
- Reverse engineer, decompile, disassemble, modify, adapt, translate, or attempt to derive the source code of the Software, except where applicable law expressly permits.
- Circumvent copy protection, activation, authorization, license management, or security features.
- Share license keys, serial numbers, account credentials, installers, or authorization files.
- Use the Software to create a competing software product, sound library, preset collection, sample pack, or similar commercial product based substantially on our Software or included content.
- Redistribute included samples, presets, wavetables, impulse responses, MIDI files, or other content in isolation or in any format that allows third parties to use them separately from your finished production.
- Use the Software in a way that infringes the rights of others or violates applicable law.
- Installation and Activation
The Software may require registration, activation, authorization, an internet connection, or use of a customer account. You agree to provide accurate information and to keep your account credentials secure.
We may use reasonable technical measures to prevent unauthorized use, copying, or distribution of the Software.
- Number of Devices
Unless your purchase, subscription, or product documentation states otherwise, a single license may be used by one individual user on computers owned or controlled by that user, provided the Software is not used simultaneously by multiple people.
For studios, schools, businesses, or multi-user environments, a separate license may be required for each user or workstation unless we provide a specific multi-seat or site license.
- Updates and Upgrades
We may provide updates, bug fixes, enhancements, or upgrades at our discretion. Some updates may be free, while major upgrades or new versions may require an additional purchase.
Updates and upgrades are governed by this Agreement unless we provide different terms.
- Trials Demos, and Beta Versions
Trial, demo, evaluation, beta, or pre-release versions may be limited in time, features, functionality, saving, exporting, or audio output.
Beta or pre-release Software is provided for testing and evaluation only and may contain errors. You should not rely on beta Software for critical production work.
- Ownership
The Software is protected by copyright and other intellectual property laws. All rights not expressly granted to you are reserved by us and our licensors.
You retain ownership of your original musical works, sound recordings, projects, and creative output created using the Software, subject to the restrictions in this Agreement.
- Third-Party Software
The Software may include or interact with third-party components, libraries, formats, services, or technologies. Those components may be subject to separate license terms. Nothing in this Agreement limits your rights under applicable open-source licenses.
- Support
We may provide technical support, documentation, updates, or compatibility information at our discretion. We do not guarantee that the Software will be compatible with all computers, operating systems, DAWs, plug-in hosts, hardware, or third-party products.
- Termination
This Agreement remains in effect until terminated. Your rights under this Agreement will terminate automatically if you violate its terms.
Upon termination, you must stop using the Software and delete all copies in your possession or control. Sections relating to ownership, restrictions, warranty disclaimers, limitation of liability, and governing law will survive termination.
- Disclaimer of Warranties
To the maximum extent permitted by law, the Software is provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory.
We disclaim all implied warranties, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Software will be uninterrupted, error-free, secure, or compatible with every system or host.
- Limitation of Liability
To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost data, business interruption, loss of goodwill, or damage to equipment or projects arising from or related to the Software.
Our total liability for any claim related to the Software will not exceed the amount you paid for the Software giving rise to the claim.
- Backup and Data Responsibility
You are responsible for backing up your systems, projects, presets, user content, and data. We are not responsible for lost, corrupted, or damaged files, sessions, projects, or audio materials.
- Export Compliance
You agree to comply with all applicable export control, sanctions, and trade laws. You may not use, export, or re-export the Software in violation of applicable law.
- Transfer
You may not transfer your license without our prior written permission. Any approved transfer may be subject to our license transfer policy, administrative requirements, or transfer fees.
- Changes to This Agreement
We may update this Agreement from time to time. The updated version will apply to future downloads, installations, updates, purchases, renewals, or continued use where permitted by law.
- Governing Law
This Agreement is governed by the laws of Illinois, USA without regard to conflict-of-law principles. Any disputes will be resolved in the courts located in Dupage County, IL, unless applicable law requires otherwise.
- Entire Agreement
This Agreement constitutes the entire agreement between you and us regarding the Software and supersedes any prior or contemporaneous agreements relating to the Software.
